Terms of Service

Effective date: June 1, 2020

Terms and Conditions for Participation in [ALL] Service Packages with Simplified with Francine

This Terms and Conditions document outlined below, herein now referred to as (the "Agreement" for participation in any and all the Service Programs and all related materials, websites and associated programs (collectively referred to as the “Services Provided Or the Service Program”) sets forth the terms of the relationship between the Simplified with Francine("SWF"), and you as the purchaser or consumer (“you or the Client") as it relates to the Services Provided. You and SWF may be referred to in this Agreement collectively as the "Parties" or individually as a "Party." You expressly agree to the terms of this Agreement by participating in the Service Program.

1. Term of Agreement. The term of this Agreement shall be from the time SWF accepts either your first instalment of the payment plan, or full payment, as your enrolment in the Services Program (the “Effective Date“) until termination by either Party as provided for under this Agreement or the completion of the Service Program.

2. Minimum Term and Termination. The Service Program has a minimum term of 4 weeks (the "Program Term”) from the date of the purchase. Either Party may terminate this Agreement at any time by giving the other Party written notice of termination. You must, however, provide SWF with thirty (30) days prior written notice of your intent to terminate participation in the Service Program. Termination will not, however, release either Party from any obligations that arose prior to the date written notice of termination was given. In the event that the Client does not respond to communications by SWF, either by email or by Whats App direct message, for 4 consecutive weeks, the Service Program will be deemed as complete and all services will be deemed as fulfilled and complete at their current status. No further reviews or corrections will be accepted by SWF.

3. Service Program Description - For all services except the Monthly Retainer Package. This 6 week service will lead you through the creation of the purchased number of products, and is defined in full detail as follows.

The creation of the listed products by SWF is included in the price of your purchased Service Program, as detailed on the checkout page you used to purchase the Service Program.

  1. Membership Site design/layout, for all packages, as currently designed and laid out by SWF, includes:
      • Premier Kajabi Theme
      • Library Layout
      • Announcements Layout
      • Contact Me Page Layout
      • Login Page Layout
      • Includes 2 Sidebar Routes
        *request for additional themes, layouts or landing pages will incur additional charges at the rate of $100USD per hour*
  1. Course (product) set-up for the number of courses (products) purchased, as currently designed and laid out by SWF 
      • Premier Kajabi Theme
      • Full course set-up
      • Content provided by client
      • 1 Resource Centre Landing Page
      • *does not include course copywriting*
  1. Checkout Page set-up for each course (product) as currently designed and laid out by the Premier Kajabi Theme Platform
    *up to 4 checkout pages per course, any custom design or additional pages will incur additional charges at the minimum rate of $100USD per hour. Any custom design will be quoted and agreed upon prior to build*
  2. Client Database set-up
    *includes importing current clients and granting them access to the portal at the end of the build*
  3. *includes stock images or personal images provided by the client*
  4. Graphic Images done by SWF to support the course, checkout pages and layout/design of the portal
    *excludes the Client’s logo design and branding*
    *All logos, colours, font and branding must be provided to SWF by the Client*
  5. Basic Kajabi account set-up
    *The Client is responsible for the purchase of their Kajabi account*
  6. Landing Page Design (included in the Business Essentials Package and Salespage Creation Packages)
    *does not include page copy-writing or the purchase of images*

*Any additional requests for pages or change of theme layout and design (including landing pages for portals, public landing pages, additional resource centre pages, sidebar pages, checkout pages) will incur additional charges and will be billed at the rate of $100 USD per hour

*Additional pages requiring custom coding will be quoted, and mutually agreed upon prior to build and will be billed as quoted

*Other required softwares, systems or products are extra and not included in the price of this program.

Herein to be collectively referred to as “Full Content”, this 6 week service will require the Client to provide full written content copy for the following products:

  1. The Client’s course content and Salespage copy: each module, lesson, documents, pdf documents, audios, videos, e-books, workbooks, live classes and calls, recorded calls and sessions, and any and all supportive materials and descriptions of the course
  2. The Client’s welcome email content and copy
  3. The Client’s Terms & Conditions content and copy
    *The Client assumes full responsibility for the provided use of their Terms & Conditions, and provides the Terms & Conditions at their own risk. The Terms & Conditions are fully provided by the Client, and the Client assumes full responsibility for the Terms & Conditions associated to their product(s). SWF assumes no responsibility or risk for the Client’s use of their Terms & Conditions.
  4. The Client’s resources, including any materials you will be providing in your course, logos, colors, fonts, branding, course content and copy, welcome email content and copy, Terms & Conditions content and copy, checkout page content and copy, landing page content and copy, pdf documents, mp3s, mp4s or any other course material, links, and YouTube content

4. Service Program Description - for Monthly Retainer Packages in either Kajabi or Go High Level Softwares (only).

Category 1: Website, Landing Pages & Salespages

  • refresh your Home page
  • Finish all site pages (streamlined high-end feel, with our custom coding)
  • streamline your entire site so it's working synergistically together
  • create "Events" landing page to showcase & accept registrations for all current events, add banners to Home Page with ongoing updates
  • create "Media" landing page with guest appearances, affiliations, etc.
  • create & execute any ideas you have
  • recommend & create other relevant site pages
  • Refresh/Streamline the Coaches' Salespages


Category 2: Courses & Members Area

  • Refresh & Streamline your Courses & Member’s Area - (the look and feel, as well as organization so it’s easy to follow for your coaches and clients)
  • Streamline & Automate Coach & Client Access to Courses
  • Build New NHI Courses and Coach Trainings & Resources as needed
  • Build Coaches' Group Access for their clients & automate access

Category 3: LIVE Launches & Product/Course Launches

  • set up Registration & Thank You Pages
  • set-up & brand accompanying Email Sequence
  • Create automations & tagging systems to monitor lead movement
  • Create any tech pieces needed for LIVE or Course Launches
  • Set-up accompanying course/replay access (if needed)
  • Add Launches to Events Page & Home Page

Category 4: Lead Magnets

  • Creating Lead Magnet Registration & Thank You Pages
  • Adding & Maintaining them on the Site
  • Setting up corresponding email nurture sequences
  • Setting up corresponding tags & automations

Category 5: Email Sequences

  • Setting up any general marketing, course or lead generation email sequences
  • Branding email sequences to courses/events for a streamlined approach

Category 6: Managing Contacts, Tagging, Automations & Bringing the whole system together

  • set up intuitive segments to easily manage your contact list
  • set up smart tagging systems
  • automate coaches & clients to make your system more efficient
  • make sure all new products & courses are tagged & segmented accordingly
  • make sure all your course access is automated & appropriated to the correct coach and client

Category 7: System Maintenance & Updates

  • Back-End Site Setting
  • Continuous & Latest Updates on the Pages/Site
  • Troubleshooting any issues you have, and finding the solutions (so you’re not spending time on this)

Category 8: Strategic Consulting, Collaboration & Recommendations

  • Any requests for digital assets to be built within Kajabi or Go High Level - whatever you want to execute, totally done for you (we will have a call for you to tell us your vision, then get to work on all the pieces)
  • Strategic consulting - help with planning an online event or course launch, making sure the digital assets in Kajabi or in Go High Level are in place to support the release
  • Troubleshoot your requests (when you want to know if/how something is possible to build/execute)
  • Share best practices & industry-forward ideas
  • work with Marketing & Social Media teams to provide Kajabi or Go High Level Technical assistance to adhere to proper timelines & delivery

 *all copywriting for Events, Registration Pages, Salespages, Landing Pages, Courses, and Emails must be provided by the Client*

*SEO not included in any Services or Packages*

*any additional and all Kajabi or Go High Level software, email or SMS fees are to be paid by and are the responsibility of the client*

5. Timelines for Completion of Services Provided. The minimum timeline for the Service Program to be complete is 6 weeks. The Service Program start date will be agreed upon during the onboarding call. This includes 1 full review by the Client, and implemented changes by SWF. The timeline may be extended should the Client request additional reviews. The Onboarding call date will be mutual agreed upon by the Client and SWF, and booked by the client after payment of the Program Services. 

The Client agrees to provide SWF with additional software enrolments, logos, headshots, color hex codes, fonts, any preferred images and additional software enrolment at the commencement of the Services Provided. 

The Client agrees to provide SWF with Full Content, as listed above, no later than 16 days from the date of the onboarding call.

SWF agrees to provide the Client with their first review, herein referred to as “First Review” of the Services Provided no later than 14 days from the date Full Content has been provided to SWF. 

The Client will review the First Review in full, and submit any corrections, changes, amendments or additional requests to SWF no later than 7 days from the date of the First Review, herein referred to as “First Correction”.

SWF agrees to make all changes and corrections submitted in the First Correction, no later than 7 days from the date of the First Correction submitted by the Client, and provide the Client with their final review of the Services Provided, herein referred to as “Final Review”. 

The Client agrees to review in full the “Final Review”, and accept the Service Program as complete, or request additional Reviews or Services, no later than 7 days from the date the Final Review has been sent to the Client by SWF. Additional Reviews will be mutually agreed upon, in both nature and timeline.

The Services Provided will be deemed complete and final by SWF no later than 7 days after the Final Review has been submitted to the Client by SWF.

SWF agrees to provide a quote for any additional services not included in the Services Provided, to the Client no later than 14 days after the request is made by the Client, herein referred to as “Additional Service Request”.

Additional Service Requests will be handled separately, in full agreement of both cost and timeline with the Client.

Failure of the Client to provide the Full Content, or First Correction, or the Final Review, as detailed above, will result in the Delay of Service, as outlined below.

6. Delay of Service. SWF will require a minimum of (7) days of extended date delay for the Services Provided, for each (1) day of delay of Full Content, First Correction, or Final Review by the Client. Once the Client provides SWF with the Full Content, the First Correction, or the Final Review, SWF will provide the Client with a new timeline for completion of the Services Provided. The Client assumes full responsibility to provide SWF with the Full Content, First Correction and Final Review in the appropriated days of each stage of the Services Provided. All requested content, including Full Content, corrections, additions and amendments are required PRIOR to the commencement of the stage of the Services Provided. Failure to comply with the deadline will result in the delay of completion of services.

SWF assumes no responsibility for missing content, delay of service, and will not finalize the Services Provided should the content be incomplete or missing. 

Additional Requests will be handled separately and mutually agreed upon.

7. Service Program Participation Payment. Payment in full to SWF is required in order to participate in the Services Provided. Any dishonored, rejected, disallowed or disputed payment for Service Program participation shall result in the suspension of any and all Program services, content or other associated benefits and shall require you to immediately surrender all content and other related materials provided to you by SWF in connection with the Service Program.

8. No Refunds. Due to the nature of the services rendered, all funds related to your participation in the Program are nonrefundable. All funds paid by you the Client are deemed earned by SWF upon receipt.

9. Program Participation at Your Own Risk. SWF does not guarantee that you will achieve any specific personal, professional or financial results as a result of the Service Provided. SWF also does not guarantee you will earn any specific amount of income as a result of the Service Provided. SWF makes no promises, representations or warranties concerning the viability of any goals, aspirations or endeavors you may identify or choose to pursue during or as a result of your participation in the Service Provided. You agree to participate in the Service Provided at your own risk. Program information, services and products are used at your own risk. You are solely responsible for any decisions and actions that result from your participation in the Service Provided, and the use of this Service and software related information, products and services are the sole responsibility of the Client.

10. Expressed Consent. The Client assumes sole responsibility and liability for obtaining all necessary expressed written consent to use any and all content that is included or appears in their program build, client portal or in any place in which it appears for the purpose of use in the Client’s private or public website, marketing uses, sales uses or any other part of the Program Services. The Client has received full expressed written consent from the originating party, company or individual to use, market and publish any and all of the materials that appear in any part of the program build, including and not limited to emails, marketing, landing pages, sales pages, public websites, private websites and client portals, course modules, live content, recorded content, audios, videos, all pdf’s and e-books. SWF assumes no responsibility or liability for the Client’s program build and all inclusions, including and not limited to, any and all materials, and all of the materials that appear in any part of the program build, including and not limited to emails, marketing, landing pages, sales pages, public websites, private websites and client portals, course modules, live content, recorded content, audios, videos, all pdf’s and e-books. The Client assumes full risk and responsibility and hereby gives expressed consent to SWF to include any and all of the content that appears in any and all services built by SWF in the Program Services. In the event that the Client should infringe on any copyrighted, trade marked, registered materials, or on a company’s intellectual property, SWF assumes no risk, responsibility or liability for any or all infringed upon use of copyrighted, trade marked, registered materials or any intellectual properties.

11. Ownership Rights and Proprietary Information. SWF and its affiliated entities own all right, title and interest (including all intellectual property rights) to any and all materials, products, services and information related to the Service and Program Provided. You agree that you will not make any Service Program materials available to the general public or any third party for sale, distribution, download, replication, copying, file sharing or otherwise unless permitted by this Agreement or authorized in writing by SWF.

12. Intellectual Property. All trademarks, service marks, trade names, logos, patents and copyrighted materials associated with the Service Program or contained in the Service Program materials (the “SWF Intellectual Property“), are the property of SWF and/or its affiliated entities. You agree not to infringe upon the SWF Intellectual Property by, among other things, the following: (1) duplicating or creating material (including any derivative works) that is the same or substantially similar to the SWF Intellectual Property; (2) registering, creating or using trademarks, service marks or domain names that are the same or substantially similar to the SWF Intellectual Property; (3) using, manufacturing, or selling any product or service that infringes upon the SWF Intellectual Property; and (4) taking any action implies or appears to be an endorsement, partnership, or association with SWF to which it has not expressly consented.

13. Modification. SWF may modify or amend any of the terms and conditions contained in this Agreement, at any time and by posting a change notice or a new version of the Agreement on the applicable Service Program website or checkout page or by otherwise advising you of the amendment/modification. If any such amendment/modification is unacceptable to you, your only recourse is to terminate this Agreement. Your continued participation in the Service Program following the posting of a change notice or a new version of this Agreement on the applicable Service Program website or following notice of the modification/amendment will constitute your binding acceptance of the new terms and conditions.

14. Indemnification. You will indemnify, hold harmless and defend SWF (as well as its members, employees, instructors, vendors, independent contractors, service professionals and affiliated entities) against any and all claims, expenses, costs, causes of action and damages (including those for personal injury, property damage and reasonable attorney’s fees) relating to your participation in the Program or for violation of this Agreement.

15. Assignment. You may not assign this Agreement (or any obligations under this Agreement) without SWF’s prior written consent.

16. Limitation of Liability. SWF (as well as its members, employees, instructors, vendors, independent contractors, service professionals and affiliated entities) shall not be liable for any indirect, incidental, special or consequential damages of any nature (including but not limited to claims for personal injury, property damage, loss of revenue, profits) related to your participation in the Service Program. Under no circumstances shall SWF’s liability, if any, exceed the total amount of all monthly Service Program participation payments. 

17. Governing Law; Class Action Waiver. This Agreement will be governed by, and construed in accordance with, the laws of the Government of Ontario, without reference to rules governing choice of laws. You irrevocably and unconditionally waive, to the fullest extent permitted by law, any right you may have to participate as a representative or member of any class of claimants in any class action lawsuit against SWF, or any of its affiliated entities, that relates to your participation in the Service Program.

18. Arbitration. Any dispute or claim arising out of or related to this Agreement, its performance, breach, or interpretation (including issues about its validity or enforceability), shall be resolved by binding arbitration with the appointment of a single arbitrator. The Government of Ontario rules and procedures governing civil proceedings shall apply to the proceedings. Either Party may seek judicial relief to compel the other Party to comply with the provisions of this Section or otherwise seek applicable injunctive or equitable relief. The arbitration shall be held in Ontario, Canada. Both Parties hereby irrevocably consent to arbitration in Ontario, Canada, as well as the jurisdiction of the courts located in Waterloo Region, Ontario Canada, for injunctive, equitable relief and enforcement purposes. Any arbitration award shall be final, binding and non-appealable. All awards may be filed with one or more courts, provinces, federal or foreign, having jurisdiction over the Party against whom such award is rendered or its property.

19. Legal Age.  You represent that you are of legal age to enter into this Agreement.

20. Relationship of Parties. Nothing in this Agreement or through your participation in the Service Program shall create a partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and SWF.

21. Miscellaneous.  This Terms of Service (Terms and Conditions outlined above) and all its entities, together with any invoices provided by SWF, constitutes the entire understanding of the Parties with respect to your participation in the purchased Service Program. These Terms and Conditions, together with any invoices provide by SWF, revokes and supersedes all prior or contemporaneous agreements, communications, proposals or understandings, whether electronic, oral or written, between the Parties regarding your participation in the Service Program.

By purchasing any service by either paid in full payment, or by completing the first instalment of your payment plan, you, the CLIENT checks the checkbox on the service checkout page, in acknowledgment and agreement of these Terms of Service, and as indication of your full compliance and understanding with the above Terms of Service, and in agreement to the services provided.

To cancel the Service, either party must provide a minimum of 30-days written notice, and the membership cancellation will be confirmed via email and effectively canceled 30 days after the written notice is received and confirmed by SWF. To do so, please email us at [email protected] with your written notice of cancellation. Due to the nature of services SWF provides, there are no refunds.

You, the CLIENT acknowledges full understanding, compliance and participation in the Service Program and these Terms and Conditions, at the time of purchase, and confirm your compliance by the act of purchasing your (any) Service Program from SWF.
